TERMS & CONDITIONS OF SALE

IMPORTANT LEGAL NOTICE
These Terms & Conditions govern every quotation, order, payment, delivery, return, warranty claim and service supplied by Online Car Parts (Pty) Ltd (“Online Car Parts”, “we”, “us”, “our”). By browsing this website, placing an order, making payment, or accepting these Terms electronically at checkout, you enter into a legally binding agreement.
KEY POINTS (READ FIRST)
  • Contract only forms on acceptance/dispatch: placing items in your cart or receiving an automated email is not acceptance.
  • Pricing & catalogue errors happen: we may correct obvious errors, including R0.00 items and mispriced items.
  • Returns are controlled: incorrectly supplied/defective goods are treated differently to “change-of-heart” returns.
  • Electrical/technical parts are strict: diagnostics and fitment proof are required; generic fault codes are not accepted.
  • Delivery is estimated: courier delays and access restrictions are real; inspect goods at delivery.
  • South African law applies: Randburg, Gauteng courts have jurisdiction.

1. INFORMATION ABOUT US

1.1 The goods (“Goods”) and services (“Services”) are provided by Online Car Parts (Pty) Ltd (“we/us/our”).

1.2 Online Car Parts is a trademark of Online Car Parts (Pty) Ltd.

2. CUSTOMER STATUS: CONSUMER VS BUSINESS

2.1 You acknowledge that:

2.1.1 clauses referring to “Consumers” apply only where you are purchasing other than in the course of trade, business or profession (“Consumer”).

2.1.2 clauses referring to “Business Customers” apply only where you purchase in the course of trade, business or profession (“Business Customer”).

2.2 By placing an order, you warrant that:

2.2.1 you are legally capable of entering into binding contracts;

2.2.2 if you are a Consumer, you are at least 18 years old;

2.2.3 the information you provide is accurate, complete and not misleading.


3. APPLICATION & CONTRACT FORMATION (ECTA)

3.1 These Terms apply to all sales of Goods and/or Services provided by us to you.

3.2 If you purchase via our website, no contract comes into existence until we dispatch the Goods, confirm dispatch, or start performing Services (whichever occurs first).

3.3 If you purchase by any means other than the website, no contract comes into existence until your order is accepted by the earliest of our written acknowledgment, delivery, or performance.

3.4 Each order is deemed an offer by you to purchase subject to these Terms. Each accepted order constitutes a separate contract.

3.5 You must ensure the terms of your order are complete and accurate. A note facility is provided at checkout.

3.6 These Terms supersede all prior dealings, negotiations, representations or agreements relating to the subject matter.

3.7 No variation is valid unless in writing and signed by you and our authorised representative.


4. INCORPORATED POLICIES

4.1 The following policies are incorporated into and form part of these Terms:

4.2 Where there is a conflict between a policy and these Terms, these Terms prevail unless legislation requires otherwise.


5. GOODS, DESCRIPTIONS & TECHNICAL INFORMATION

5.1 All catalogues, brochures, drawings, pictures, application guides, specifications and technical information are provided as a general guide only.

5.2 Technical specifications are approximations unless stated otherwise. Caution should be exercised. You must verify fitment and application through qualified technical channels.

5.3 We reserve the right to deliver Goods of modified design where differences do not make Goods unsuitable for the purpose you have made known to us in writing prior to purchase.

5.4 We retain all copyright and title to documentation and technical materials supplied and they may be used only for intended contract purposes and must be returned on demand.

5.5 You will not remove, alter, deface or tamper with trademarks or identifying marks affixed to Goods.

5.6 If Goods are supplied according to your design/specification, you indemnify us against claims, expenses and liabilities arising from that design/specification.


6. CONSUMER RIGHTS (CPA/ECTA) & COOLING-OFF

CPA / ECTA NOTICE
Nothing in these Terms limits or excludes any statutory rights afforded to Consumers under the Consumer Protection Act (“CPA”) or Electronic Communications and Transactions Act (“ECTA”). Where legislation provides greater protection than these Terms, legislation prevails.

6.1 If you are a Consumer purchasing online or by distance sale, you may have cancellation rights under applicable law. Where our internal process offers a shorter or more specific procedure, that does not reduce any statutory right.

6.2 Any cancellation request must be submitted in writing and must include your order number, invoice number, and the reason for cancellation/return request where applicable.

6.3 Goods returned must be unused, in original packaging, with all documentation, and in resalable condition unless returned due to defect or incorrect supply.

6.4 This right does not apply to personalised goods, goods made to specification, or where law provides exclusions. Special Orders are dealt with in clause 15.

6.5 We reserve the right to refuse cancellation or return requests that do not comply with procedure, time periods, or condition requirements, subject to statutory rights.


7. PRICES, VAT, PRICING ERRORS & ZERO-PRICE ITEMS

7.1 Prices are as quoted from time to time except in cases of obvious error. Prices may change without notice.

7.2 Prices include VAT unless stated otherwise.

7.3 Delivery costs are quoted at checkout. We choose whether to send Overnight or Economy freight unless otherwise agreed. If you dictate mode of transport, you are liable for additional cost.

PRICING ERRORS & R0.00 (ZERO PRICE TAG) ITEMS

We stock a very large catalogue. Despite best efforts, some pricing errors may occur. We are under no obligation to supply Goods at an obvious and unmistakable incorrect price.

Zero Price Tag Items (R0.00):

  • Some products may display a zero price tag due to system/data errors.
  • These products may be added to cart and checked out; however, Online Car Parts is not required to honour such purchases.
  • We may update the price and require re-purchase, or request payment via EFT to proceed.
  • A reasonable person would not expect an item to be free where pricing is clearly erroneous.
  • If delivery charges were paid on a zero-priced transaction and you elect not to pay for the item, we will refund delivery charges and consider the transaction finalised.

8. QUOTATIONS

8.1 Unless otherwise stated, quotations are valid for 7 days.

8.2 Goods quoted for are not reserved unless expressly stated in writing.


9. PAYMENT & SECURITY

9.1 Where you do not hold a credit account, payment is due in full when the order is placed.

9.2 We reserve the right to charge a card surcharge where applicable.

9.3 Card payments may be subject to verification, 3D Secure, and fraud screening.

9.4 We do not accept cheques.


10. DELIVERY, ACCESS RESTRICTIONS & INTERNATIONAL BUYERS

10.1 Delivery occurs when we make Goods available at an agreed delivery point.

10.2 Delivery dates are estimates only. Time is not of the essence. You may cancel if delivery is more than 30 days late, and this is your sole remedy for such delay, subject to statutory rights.

10.3 You must report non-delivery within 7 days of the date the Goods would ordinarily have been received.

10.4 Claims for damaged goods, shortages, or misdeliveries must be reported within 7 days, and where appropriate must be noted on the courier waybill.

ACCESS RESTRICTIONS & EXCLUSIONS
  • Regional areas (50km+ from metro) may take 1–2 business days.
  • Remote areas (100km+ from metro) may take 3–7 business days.
  • Mines, plots, farms, game reserves, national parks, universities, power stations and rural areas may be excluded or attract special delivery charges.
  • Weekend/Public Holiday delivery is excluded unless agreed at additional cost.

10.5 We ship to neighbouring countries and broader Africa where feasible, excluding civil unrest areas. International buyers must request a shipping quotation. International buyers may be required to checkout using “In-Store Collection” depending on system limitations.

10.6 Insurance is not included unless requested and paid for.

10.7 Delivery terms are supplemented by our Delivery / Shipping Policy.


11. UNLOADING

11.1 You are responsible for providing means to unload Goods unless agreed in writing otherwise.


12. STORAGE & DISPOSAL

12.1 If you fail to take delivery, we may store Goods at your cost.

Business Customers: you are responsible for collection, treatment, recovery and lawful disposal of waste electrical/electronic equipment and related costs.

Consumers: you must take reasonable steps to recycle electronic equipment.


13. RISK & TITLE

13.1 Risk passes on delivery.

13.2 Title remains with us until payment in full is received and cleared.


14. WARRANTY, REPAIRS, DIAGNOSTICS & FITMENT RULES

CPA REPAIR / DEFECT NOTICE
Where the CPA provides Consumers with rights relating to defective goods, repairs, replacement or refund, those statutory rights apply and cannot be excluded. Any warranty process herein sets out the procedure and evidence requirements for claims, without removing statutory protection.

14.1 Goods are supplied with manufacturer warranties where applicable (“Warranty”), subject to Warranty Conditions.

14.2 If Goods become faulty during warranty for reasons not connected with misuse, you must notify us in writing and return Goods for assessment/testing. We may repair or replace at our option.

14.3 We require proof of fitment and supporting documents where the claim relates to installation or operational failure.

STRICT FITMENT & DIAGNOSTICS REQUIREMENTS (AUTOMOTIVE PARTS)
  • Fitment should be performed by a trained technician with appropriate qualifications and correct equipment.
  • Technicians must follow vehicle manufacturer procedures, torque settings, lubrication and calibration requirements.
  • Electrical parts are sensitive: we may require detailed diagnostics confirming the specific part is faulty prior to purchase and for warranty evaluation.
  • Generic fault codes are not accepted as proof of a defective part. Handheld “cluster” codes are insufficient.
  • Existing electrical degradation or vehicle faults that damage the new part void the claim.

14.4 Returns/warranty claims require a reference number prior to returning goods.

14.5 Claims are subject to supplier/manufacturer testing and approval processes.

15. RETURNS, REFUNDS, EXCHANGES, SPECIAL ORDERS & INTERNATIONAL ORDERS

RETURNS SUMMARY (READ THIS)
  • Incorrectly supplied/defective goods follow a different process to “change-of-heart” returns.
  • Goods must be unused, in original packaging, resalable condition unless defective/incorrectly supplied.
  • Electrical goods and sealed packaging items are strictly controlled.
  • Restocking fees may apply to correctly supplied goods returned without statutory grounds.

15.1 Returns are subject to inspection and approval.

15.2 Correctly supplied goods returned as new and resalable may attract a restocking fee (as set out in our policy and/or communicated during the return process).

15.3 Incorrectly supplied goods or defective goods may be refunded, exchanged or replaced subject to verification and statutory rights.

15.4 Special Orders: non-stock items ordered or manufactured on request require payment in full. Special Orders are non-refundable except at our sole discretion or where statutory rights apply. Restocking fees may apply.

15.5 International Orders: imported or internationally sourced items are subject to shipping and customs delays. Under no circumstances will refunds be given where goods are indefinitely delayed/withheld by customs or authorities once dispatched, unless required by law.

15.6 Returns procedures, timelines and documentation requirements are set out in the Returns & Warranty Policy and form part of these Terms.


16. EXCHANGE UNIT SURCHARGES

16.1 Where exchange units are purchased, a surcharge may be charged and refunded via credit note if the old unit is returned within 7 days and is identical and rebuildable in our sole discretion.


17. SERVICES

17.1 We perform Services with reasonable care and skill.

17.2 Your sole remedy for defective Services is re-performance of those Services, subject to statutory rights.


18. INSTALLATION

18.1 If installation is provided, you must comply with site preparation requirements. Additional work caused by non-compliance may be charged.


19. SUPPORT & MAINTENANCE

19.1 Where purchased, support is provided during normal business hours for the cover period and is initial advice only, not consultancy or training.


20. LIMITATION OF LIABILITY

LIMITATION OF LIABILITY (IMPORTANT)
Subject to statutory rights and matters that cannot be excluded by law:
  • We are not liable for indirect, consequential, special or punitive losses.
  • We are not liable for loss of profit, business, income, data, goodwill or wasted management time.
  • Our total liability will not exceed 125% of the price paid for the Goods/Services giving rise to the claim for any single event or series of connected events.

21. TERMINATION & SUSPENSION

21.1 We may suspend or terminate supply if you fail to pay or breach obligations, or if insolvency-related events occur.


22. ANTI-CORRUPTION

22.1 You must comply with applicable anti-corruption laws and must not induce improper performance.


23. FORCE MAJEURE

23.1 We are not liable for failure caused by factors outside our control.


24. LAW, JURISDICTION & DOMICILIUM

24.1 This contract is governed by South African law. You consent that all legal action may be instituted in the courts serving Randburg, Gauteng.

24.2 Our domicilium citandi et executandi is:

25. NOTICES

25.1 Notices must be in writing and may be served personally, registered mail, email or other means specified by notice.

25.2 Our notice details appear in clause 1 and in our Legal Notice.


26. GENERAL

26.1 If a provision is invalid, the remainder remains enforceable.

26.2 Failure to enforce a provision is not a waiver.


27. PROMOTIONAL CODE TERMS

27.1 Promotional codes may be offered from time to time. Where conflict exists between promotional terms and these Terms, these Terms prevail unless expressly stated otherwise.

27.2 Promotional codes are non-transferable, non-refundable, not exchangeable for cash, and may be withdrawn at our discretion.

27.3 Free items are clearly marked “FREE” and are not R0.00 items.

27.4 We may refuse participation, cancel codes, exclude products, and amend promotional terms.

27.5 Promotional participation may involve publicity unless objections are raised in writing where applicable.


28. REGISTRATION VOUCHER TERMS

28.1 One voucher per individual (per identity number). Fraudulent registrations will be treated as fraud and dealt with under law.

28.2 IP tracking may be used to validate entries and prevent abuse.


29. OUT OF STOCK ITEMS

29.1 If an item was indicated “in stock” but later found not to be available, we may source within 7 days failing which we may cancel and refund within 7 days.


30. PRIVACY & POPIA (SUMMARY)

30.1 We take reasonable steps to protect personal information. Processing is governed by POPIA. Full details are set out in our Privacy Policy.


31. CARD PAYMENTS, GATEWAY & TRANSACTION DETAILS

31.1 Card transactions are processed via secure payment gateways. Card details are entered on the gateway’s secure site and are not stored on our website.

31.2 Merchant outlet country is South Africa. Transaction currency is South African Rand (ZAR).


32. SAFETY, PRODUCT INFORMATION & E&OE

32.1 Proper service and repair procedures are vital. Buyers must consult qualified technicians before purchasing and before fitment.

32.2 Information on this website is provided for convenience. No warranty is given as to accuracy or completeness where permitted by law.

32.3 Errors and omissions excepted. We may correct errors. Where images differ from descriptions/prices, description and price prevail.


33. VARIATION

33.1 We may change these Terms at any time. The version published at checkout applies.
